Acceptance of Terms
By accessing or using the CantorOS platform, our website at cantortech.com, or any services provided by Cantor Technologies, Inc. (“Cantor Technologies,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our platform at least 30 days before they take effect.
Description of Services
Cantor Technologies provides the CantorOS logistics operating system platform, which includes fleet management, warehouse coordination, route optimization, order management, financial tracking, analytics, and related tools and services (collectively, the “Services”). The Services are provided as a cloud-based software-as-a-service (SaaS) platform accessible through web browsers and mobile applications.
We may update, modify, or discontinue certain features or aspects of the Services at any time. We will provide reasonable notice of any material changes that may adversely affect your use of the platform.
Account Registration and Security
To use the CantorOS platform, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or use of your account
- Ensuring that account information remains accurate and up to date
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms or that pose a security risk to the platform.
Subscription and Payment
Pricing and Plans
Access to CantorOS is provided on a subscription basis as outlined in your service agreement or order form. Pricing is based on your selected plan, operational volume, and modules. All fees are exclusive of applicable taxes unless otherwise stated.
Payment Terms
Subscription fees are invoiced in advance on a monthly or annual basis as specified in your order form. Payment is due within 30 days of the invoice date unless otherwise agreed. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Renewal
Subscriptions automatically renew for successive periods equal to the initial subscription term unless either party provides written notice of non-renewal at least 60 days prior to the end of the then-current term.
Refund Policy
Annual subscriptions may be eligible for a prorated refund if cancelled within the first 30 days. Monthly subscriptions are non-refundable. Implementation and professional services fees are non-refundable once the services have been delivered.
Permitted Use and Restrictions
Subject to your compliance with these Terms and your service agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations.
You May Not
- Copy, modify, distribute, sell, or lease any part of the platform or its content

Intellectual Property
The CantorOS platform, including all software, algorithms, designs, documentation, trademarks, logos, and other content (“Cantor IP”) is owned by Cantor Technologies and is protected by copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Cantor IP except for the limited license to use the Services as described herein.
We welcome feedback, suggestions, and ideas about our Services. Any feedback you provide becomes the property of Cantor Technologies, and we may use it without restriction or compensation to you.
Your Data and Content
Ownership
You retain all ownership rights in the data, content, and information that you or your authorized users input into the CantorOS platform (“Customer Data”). We claim no intellectual property rights over your Customer Data.
License to Process
You grant Cantor Technologies a limited, non-exclusive license to access, process, and display your Customer Data solely as necessary to provide, maintain, and improve the Services. This license terminates when your subscription ends and all Customer Data has been deleted or returned.
Data Export
You may export your Customer Data at any time during your subscription through the platform’s export functionality or by contacting our support team. Upon termination of your subscription, we will make your Customer Data available for export for a period of 30 days.
Aggregated Data
We may create anonymized, aggregated data derived from your use of the Services that cannot be used to identify you or your organization. We may use this aggregated data for analytics, benchmarking, research, and improving our Services.
Confidentiality
Each party agrees to protect the other party’s Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information includes all non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential.
Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed without use of the disclosing party’s Confidential Information, rightfully received from a third party without restriction, or required to be disclosed by law or legal process.
Warranties and Disclaimers
Our Warranty
Cantor Technologies warrants that the Services will perform materially in accordance with the applicable documentation during the subscription term. If the Services fail to meet this warranty, your exclusive remedy is for us to use commercially reasonable efforts to correct the non-conformity or, if we are unable to do so within 30 days, to terminate your subscription and provide a prorated refund of prepaid fees.
Disclaimer
EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CANTOR TECHNOLOGIES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CANTOR TECHNOLOGIES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification
Your Indemnification
You agree to indemnify, defend, and hold harmless Cantor Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services in violation of these Terms, your Customer Data, or your violation of any applicable law or third-party rights.
Our Indemnification
Cantor Technologies will indemnify, defend, and hold you harmless against any third-party claim that your authorized use of the Services infringes or misappropriates such third party’s intellectual property rights, and will pay any damages finally awarded or settlement amounts approved by us. This obligation does not apply if the claim arises from your Customer Data, modifications you made to the Services, or use of the Services in violation of these Terms.
Term and Termination
These Terms remain in effect for as long as you have an active account or use our Services.
Termination for Convenience
Either party may terminate a subscription by providing written notice at least 60 days prior to the end of the then-current subscription term. Termination for convenience does not entitle you to a refund of prepaid fees unless otherwise stated in your service agreement.
Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days after receiving written notice of the breach.
Effect of Termination
Upon termination, your right to access and use the Services will cease immediately. We will make your Customer Data available for export for 30 days following termination, after which we may delete it. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law will survive termination.
Governing Law and Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Dispute Resolution
Any dispute arising out of or related to these Terms or the Services shall first be subject to good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
General Provisions
Entire Agreement
These Terms, together with your service agreement and any order forms, constitute the entire agreement between you and Cantor Technologies regarding the Services and supersede all prior agreements, negotiations, and representations.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Cantor Technologies may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force Majeure
Neither party shall be liable for any failure or delay in performance arising out of causes beyond its reasonable control, including natural disasters, acts of government, pandemics, wars, terrorism, labor disputes, Internet or utility failures, or denial-of-service attacks.
No Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the waiving party.
Notices
All notices under these Terms must be in writing and will be deemed given when delivered personally, sent by confirmed email, or sent by recognized overnight courier to the addresses specified in the applicable service agreement.
